Welcome to Eonest! These Terms of Service ("Terms") govern your access to and use of the Eonest Sheets platform, including our AI-powered analysis tools, real-time collaboration features, workflow automation, and all related applications, websites, and services (collectively, the "Service"). These Terms form a binding agreement between you and Eonest ("Company," "we," "us," or "our").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
Eonest is a technology company building AI-powered analysis tools for modern teams. Our flagship product, Eonest Sheets, provides a cloud-based platform for real-time collaboration, intelligent analytics, and workflow automation. Our mission is to help teams work smarter by combining the power of AI with intuitive data analysis tools.
You must be at least 18 years old, or the minimum age required in your jurisdiction to form a binding contract, whichever is higher, to create an account and use the Service.
To access certain features of the Service, you must register for an account by providing accurate, current, and complete information. You agree to keep your account information updated. Our communications to you using your account contact information will satisfy any requirements for legal notices.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must:

If you create an account using an email address belonging to your employer or another organization, the organization's administrator may be able to manage and control the account, including accessing content associated with it. "Input" means any data, files, text, or other content you upload to or submit through the Service. "Output" means any content generated by the Service in response to your Inputs, including AI-generated analyses, insights, and reports. Inputs and Outputs are collectively referred to as "Content."
As between you and Eonest, you retain all right, title, and interest in your Inputs. By submitting Inputs, you represent and warrant that you have all rights, licenses, and permissions necessary for us to process the Inputs and provide the Service to you.
Subject to your compliance with these Terms, we assign to you all of our right, title, and interest—if any—in the Outputs generated for you through the Service.
You grant Eonest a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and process your Content solely as necessary to provide, maintain, and improve the Service and to comply with applicable law. This license does not grant us the right to sell your Content to third parties.

Important: AI and machine learning are rapidly evolving technologies. Outputs may not always be accurate, complete, or current, even if they appear detailed or specific. You acknowledge and agree that you should not rely on any Output without independently verifying its accuracy. Eonest does not guarantee the correctness, reliability, or fitness for any particular purpose of any Output.
We welcome and encourage feedback, ideas, and suggestions for improvement ("Feedback"). If you provide Feedback, you agree that we may use, modify, and incorporate the Feedback into our products and services without any obligation or compensation to you. You retain no proprietary interest in any Feedback you submit.
The Service may be offered under free and paid subscription plans. Features and usage limits vary by plan and are described on our pricing page. We reserve the right to modify plan features and pricing at any time.
If you purchase a paid subscription ("Subscription"), you agree to provide complete and accurate billing information. You authorize us to charge your designated payment method for all applicable fees and taxes on a recurring basis until you cancel.
Paid Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. We will charge the then-current subscription fee to your payment method at the start of each renewal period.
You may cancel your Subscription at any time through your account settings or by contacting [email protected]. Cancellation takes effect at the end of the current billing period. Except as required by applicable law, fees are non-refundable.
We may change the fees for our Service. If we increase subscription fees, we will give you at least 30 days' advance notice. Your continued use of the Service after the fee change takes effect constitutes your acceptance of the new fees. If you do not accept the new fees, you may cancel your Subscription before the next billing period.
Eonest Sheets is currently offered as an Early Access Beta. We may also offer other features or services on a beta, preview, or early-access basis ("Beta Services"). Beta Services are provided "as is" and may contain bugs, errors, or other defects. We may modify or discontinue Beta Services at any time without notice. Beta Services may be subject to additional or different terms that we will communicate to you.
The Service may integrate with or link to third-party services, content, or platforms. We do not control and are not responsible for any third-party services, and your use of them is governed by their own terms and privacy policies. We make no warranties or representations regarding third-party services.
The Service and all associated technology, software, designs, trademarks, logos, and other intellectual property are and remain the exclusive property of Eonest and its licensors. These Terms do not grant you any right, title, or interest in the Service beyond the limited license in Section 3.1.
You may not use our name, logos, or trademarks without our prior written permission, except as necessary to identify the Service as part of your normal use. To request permission, please email [email protected].
We take the security of your data seriously. We implement industry-standard technical and organizational security measures, including encryption of data in transit and at rest, access controls, and regular security assessments. You may stop using the Service or close your account at any time by contacting [email protected] or through your account settings.
We may suspend or terminate your access to the Service at any time without prior notice if we reasonably believe you have violated these Terms, our policies, or applicable law, or if necessary to protect the safety, security, or integrity of the Service or our users. We may also terminate your account if it has been inactive for more than 12 months, provided we give you notice before doing so.
Upon termination, your right to use the Service immediately ceases. We may, at our discretion, delete any Content or other data associated with your account. You should export any data you wish to retain before closing your account. Sections 4.4, 5, 6 (with respect to outstanding fees), 9, 11.3, 12, 13, and 14 will survive termination.
The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, Eonest and its affiliates, licensors, and service providers disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and security.
Without limiting the foregoing, Eonest does not warrant that AI-generated outputs will be accurate, complete, reliable, current, or error-free, or that the Service will meet your requirements or be available on an uninterrupted, secure, or error-free basis.
To the fullest extent permitted by applicable law, in no event will Eonest or its affiliates, directors, officers, employees, agents, licensors, or service providers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses, arising out of or related to your use of or inability to use the Service, even if Eonest has been advised of the possibility of such damages.
Eonest's total aggregate liability for all claims arising out of or related to these Terms or the Service will not exceed the greater of (a) the amounts you paid to Eonest in the six (6) months preceding the first event giving rise to liability, and (b) one hundred dollars ($100).
You agree to indemnify, defend, and hold harmless Eonest and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your Content; (c) your violation of these Terms or applicable law; or (d) your violation of any third-party rights.
We may update these Terms from time to time. If we make material changes, we will notify you at least 30 days in advance by email, through the Service, or by posting a notice on our website. Your continued use of the Service after the updated Terms take effect constitutes your acceptance. If you do not agree to the updated Terms, you must stop using the Service.
These Terms are governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of laws principles.
Before filing any formal legal action, you and Eonest agree to attempt to resolve any dispute informally by contacting the other party and describing the dispute. Both parties agree to negotiate in good faith for at least 30 days before initiating any formal proceedings.
Any dispute arising out of or relating to these Terms that cannot be resolved informally will be resolved exclusively in the state or federal courts located in Montgomery County, Maryland, and you and Eonest consent to personal jurisdiction in those courts.
You must comply with all applicable trade laws, including United States export controls and sanctions laws. You may not use the Service in or for the benefit of any U.S. embargoed country or territory, or in violation of any applicable trade restrictions. You represent that you are not located in any such country and are not on any restricted party list maintained by the U.S. Government.
These Terms, together with our Privacy Policy and any Supplemental Terms, constitute the entire agreement between you and Eonest with respect to the Service and supersede all prior or contemporaneous agreements.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
Our failure to enforce any provision of these Terms will not be deemed a waiver of that provision or any other provision.
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
Neither party will be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including natural disasters, pandemics, war, terrorism, riots, government action, or failures of the internet or third-party services.
